There are asset protection and tax implications of each choice and I can help you through the decision. After meeting with you to discuss your business plan, I can set up your structure for you, often in two business days. I can help you make tax treatment elections and get your business tax ID.

Asset Sales

Ready to buy or sell a business? I can walk you through the considerations. Important concerns include whether to buy/sell the stock in the company or just the assets, how to fund, how to allocate the price, timing, valuations, tax considerations and due diligence. I can prepare asset sales agreements, promissory notes, liens, company resolutions, resignations, and noncompete agreements and other required documents.
New or ongoing businesses should consider buyout agreement provisions. When can a partner be bought out? What if a partner dies, becomes disabled, gets divorced, or retires? How is a price set? Funded? When can a new partner be admitted? What about a right for first refusal? No one wants to be partners with someone they didn’t intend. 

Asset Protection

The right entity structure helps to protect personal assets from business claims. I can review agreements to limit liability exposure. I can confirm habits that maintain shields. There may be a benefit to moving assets with different risks into a different entity to separate risk/operations from valuable assets or real estate.
